RPPTL Discussion

Summary of discussion regarding proposed legislation concerning LLC name changes

January 18 meeting

January 12th, 2007 by Administrator
Dear Members of the BLS Legislation Committee,
We will be meeting in Miami in conjunction with the Bar Mid-Year meetings next Thursday at 3:00 pm (to 3:45pm)  to discuss legislative proposals expected to be introduced into the 2007 legislature. I wanted you to focus on the attached proposed changes to the charging lien provisions of the partnership (GPs and LLPs) and LLC laws which are being pushed by the RPPTL section.
The proposed changes would essentially limit remedies of creditors of partners of GPs and LLPs and members of LLCs to charging liens against the partnership or LLC interests owned by the debtors, and would not permit foreclosure against such interests. For those of you who followed our work on the Limited Partnership statute in 2005, you will know that we implemented exactly that statutory scheme in Limited Partnerships.  As to LLCs, the entry of a charging lien is the exclusive remedy in the Delaware statute, and is the exclusive remedy in the Uniform Revised LLC Act. I will discuss this in more detail at our meeting.
The Agenda for the Meeting will be the following:
1. Overview of all pending legislative proposals from last year by Bill Wiley
2. Review and consideration of the above RPPTL proposed changes to Ch.620 (Partnership) and Ch.608 (LLC)
3. Review of proposed changes to Ch 617 (Not For Profit Statute) (We approved the revisions, but a few additional changes have been proposed by RPPTL)
4. Update on Ch. 517 (Securities & Investor Protection Act) and Ch. 608 drafting committee actions to date
5. Report on new legislative initiatives of the Section.
Meeting materials can be downloaded here
As you can see, we will be busy.  I look forward to seeing everyone next week in Miami.
Happy New Year!
Regards, Lou

RPPTL-LLC Names from Lou Conti

January 12th, 2007 by Administrator
As an additional source of reading material for those nights when you just can’t seem to get to sleep, we have posted the RPPTL proposal for another change to the LLC statute (608.406) to eliminate the possibility of duplicate or confusingly similar LLC names.
See the file here
We are generally in favor of this proposed legislation, as it is something we wanted to see years ago, and it is now strongly supported by the secretary of state’s office, but it will be carefully considered, and anyone who sees a problem should certainly raise it when we meet next week.
